The success of an employee ownership company rests on an unusual collaboration among the three elements of its governance structure - the board of directors, the ESOP fiduciaries, and the company’s management. In an employee ownership environment, none of the elements has absolute control at any point. At the same time, each of the elements has a responsibility to make it work for the best interest of the ESOP shareholder. In many cases, the structure makes employee ownership companies nimble and responsive to changes in the marketplace, but where the collaboration breaks down, it can become a hindrance to competitiveness and long-term success.

The Governance Curriculum on Employee Ownership at the Rady School of Management include programs designed to support the development of each of the three members of the governance community; to foster their efficient interaction; and to help refine “best practices” for each of these roles.

The Corporate Directors’ Exchange is a unique opportunity for people serving in or considering serving in the pivotal role as directors of ESOP companies to share experiences with others in similar situations. This exchange allows directors to work together to hone their understanding of corporate governance as it is influenced by ESOP as a capital structure and to apply their group experience to the task of guiding employee-owned companies on a strategic path to growth and sustainability.
The Corporate Directors’ Exchange is a highly interactive mix of presentations and group exercises. It is designed to establish a knowledge base and build upon it to allow each company represented to develop a truly efficient business model that not only creates value for the stakeholders but lives up to the promise of an employee ownership future.

Mr. Goldberg focuses his practice on the design, implementation and operation of employee stock ownership plans (ESOPs) and he is nationally recognized for his extensive experience in structuring a wide variety of ESOP transactions. These ESOP transactions are often designed as part of a family ownership transition, management buyout, or investment diversification/liquidity strategy for shareholder groups. Larry has advised numerous corporations, shareholders and directors, of both closely held and publicly traded companies, on the use of ESOPs and ESOP-related strategies. He regularly serves as legal counsel to ESOP trustees, and advises investors and lenders with respect to ESOP transactions. Larry also advises clients on various types of pension and profit sharing plans, and management incentive plans implemented in connection with an ESOP transaction.

Martin Staubus is executive director of the Beyster Institute at the Rady School of Management, UC San Diego. He advises business leaders on the strategic use of employee ownership programs to build stronger companies and provide liquidity to owners. Trained as an attorney, Martin has more than 30 years of experience in the business world, serving in varied roles as a lawyer, consultant, government policy advisor, corporate executive and corporate director. Nationally recognized as a leading expert on the effective use of equity compensation and employee stock plans, Martin is active in speaking, writing, and teaching, with work published by Harvard Business School Press, Harvard Business Review, and others. He is a frequent speaker and workshop leader and also is an instructor at the UCSD Rady School of Management.

John Hoffmire serves on the faculty of the Saïd Business School. He teaches in the MBA and executive education programs and directs the Saïd Business School Impact Bond Fund. Before joining Saïd Business School, John had a twenty-year career in equity investing, venture capital, consulting, and investment banking. John also directs the Center on Business and Poverty at the University of Wisconsin-Madison.
Senior Consultant, Beyster Institute
Anthony I. Mathews is senior consultant with the Beyster Institute. Tony joined the Institute in 2006 after his retirement from the Principal Financial Group’s Employer Securities Group. Tony has more than 35 years of experience as an employee ownership consultant and is a frequent speaker and author on employee ownership and culture. Tony holds a B.A. from Loyola University of Los Angeles and an M.A. from UCLA. Tony is generally recognized as an authority in the areas of ESOP design and the operational issues involved in maintaining an employee ownership program. He brings extensive practical experience and creative solutions to employee ownership challenges.
